Job description

1. Purpose

The purpose of these Terms of Reference (ToR) is to engage an Independent Evaluation Committee Member to support a live procurement process being led by the Vanuatu National Provident Fund (VNPF).

2. Background

VNPF has approached a number of firms to undertake a comprehensive business case study on establishing a VNPF superannuation entity in Australia. The proposed purpose of establishing the entity is to provide an option for Pacific-Australia Labour Mobility (PALM) scheme workers and Vanuatu diaspora.

The objectives of the business case study engagement are to:

A) Assess the feasibility of establishing a superannuation entity in Australia for ni-Vanuatu citizens and recommend possible short-term (Trustee arrangements) and long-term (VNPF Registered Superannuation Entity) options as well to undertake an assessment of how these options could interact with future portability arrangements between Australia and Vanuatu.

B) Produce a business case for recommended short- and long-term options outlining strategic goals, a proposed governance structure, legal, financial and marketing considerations and a draft implementation roadmap.

3. Objectives

The objective of this ToR is to ensure that the firm selected to undertake the business case has proposed a technically rigorous approach and possesses the appropriate capability and capacity to undertake the work outlined in the EOI.

4. Scope

The Adviser will be an independent member of the Evaluation Committee (EC) which will be chaired by VNPF and will also include a representative from the Governance for Growth (GfG) Vanuatu program. As a member of the EC, the Adviser will:

  • Provide advice to the Chair on the procurement process, including selection criteria, as required.

  • Review EOIs received (against the selection criteria) and provide ratings and justifications for each.

  • Indicate possible areas of risk and where appropriate, corresponding mitigation measures for each EOI.

  • Where an EOI does not meet compliance, participate in discussions with the EC on how to proceed with EOI review.

  • Support the Chair in drafting elements of the procurement report, as required.

  • Provide advice on the best approach to implementation of the engagement.

5. Roles and Responsibilities

The Adviser will provide advice to GfG and VNPF on the EOI submissions and will report to the EC Chair on matters related to their role of independent Evaluation Committee Member.

6. Deliverables

  • Engagement in approximately 4 EC meetings (TBC), with potential participation in follow up interviews.

  • Ratings against each selection criteria item and justification for each rating given for each of the EOI responses.   

  • ·Support to the Chair in drafting the procurement report.

7. Timelines

It is anticipated that the Adviser will be engaged from mid-October to mid-November 2025 to support the EC. It is anticipated that up to 10 days of work will be required.

Job requirements

Qualifications and Experience

The Adviser will have the following experience and expertise:

  • Bachelor's degree in finance, accounting or similar.

  • In-depth understanding of Australian superannuation regulations and compliance requirements, including the Superannuation Industry (Supervision) Act 1993.

  • Familiarity with the Australian Taxation Office (ATO) guidelines as they relate to superannuation funds.

  • Familiarity with legal frameworks governing superannuation, including trust law and member rights.

  • A proven track record of working with superannuation funds and financial institutions in Australia and internationally.

  • Experience advising Australian Registered Superannuation Entities.

  • Strong background in finance, investment strategies, and risk management relevant to superannuation.
