Legal Expert for Support to the Board of Investment (BoI) for Development of Rules under the Asaan Karobar Act (AKA), 2025
Overview of Activity
The Revenue Mobilisation, Investment and Trade (REMIT) programme, funded by the UK’s FCDO and implemented by Adam Smith International (ASI), provides technical assistance to Government of Pakistan to enhance macroeconomic stability, improve the investment climate, and promote sustainable private sector growth. REMIT is supporting the Board of Investment (BoI) to operationalise the Asaan Karobar Act (AKA), a landmark legislation aimed at simplifying, digitising, and rationalising business regulations across Pakistan. The Act mandates, inter alia, the establishment of two key institutions: the Asaan Karobar Technical Unit (AKTU) and the Pakistan Regulatory Registry (PRR) eventually leading to development of Pakistan Business Portal. To enable effective implementation, REMIT seeks to engage a Legal Expert to support BoI in drafting and finalising the Rules under the Asaan Karobar Act, ensuring legal precision, institutional clarity, and consistency with global best practices in regulatory governance.
Job Summary
The legal expert will work under the supervision and strategic direction of the Senior Legal Expert to support the Board of Investment (BoI) in developing the implementing rules under the Asaan Karobar Act (AKA), 2025. This assignment is central to operationalising one of Pakistan’s most transformative regulatory reform frameworks, aimed at simplifying and rationalising the country’s business regulations. The legal expert will contribute to translate the legislative provisions of the Act into clear, actionable, and enforceable legal instruments that provide operational guidance to government institutions. As part of a coordinated BoI–REMIT technical team, the legal expert will assist in drafting subsidiary legislation that defines institutional mandates, governance mechanisms, data management and service frameworks for officials and entities operating under the Asaan Karobar Act. The role will require a combination of legal precision, analytical rigour, and policy insight to ensure that each rule is legally sound, institutionally coherent, and practically implementable and will conduct targeted legal research, comparative reviews, and gap analyses to ensure that all draft rules are harmonised with Pakistan’s constitutional, administrative, and regulatory frameworks. The legal expert will further assist in the legal vetting, review, and preparation of final submission of rules, ensuring compliance with procedural requirements for government notification. This engagement will play a pivotal supporting role in advancing the Asaan Karobar Act from legislation to implementation, strengthening Pakistan’s capacity for transparent, evidence-based, and investor-friendly rulemaking, and contributing to a more predictable and competitive regulatory environment.
Duties and Responsibilities
· Work under the supervision and guidance of the Senior Legal Expert to provide technical and legal drafting support to transform legislative provisions into practical and enforceable instruments that enable the Act’s full operationalisation.
· Assist the Senior Legal Expert in translating the Act’s provisions into detailed legal frameworks that define, inter alia, institutional mandates, governance structures, and service procedures under the Asaan Karobar Technical Unit, thePakistan Regulatory Registry and Pakistan Business Portal.
· Conduct comprehensive legal research and comparative reviews of relevant legislative and regulatory instruments to assess their compatibility with existing frameworks, ensuring the new rules align with constitutional requirements, Rules of Business (1973), and administrative laws.
· Support the Senior Legal Expert in ensuring that each rule is legally precise, internally coherent, and consistent with the Act’s objectives, providing clarity for institutional coordination between BoI, line ministries, regulators, and provincial investment departments.
· Assist in drafting and refining rule provisions, identifying potential overlaps or ambiguities, and proposing text improvements to strengthen clarity, legal defensibility, and administrative practicality.
· Assist in the legal vetting process and confirm compliance with procedural and administrative laws.
· Contribute to the preparation of a final advisory note and implementation roadmap, summarising the drafting process, consultation outcomes, and recommendations.
Job requirements
Qualifications and Experience
· Advanced degree in Law with experience of supporting regulatory governance agenda.
· Minimum 8 years of relevant professional experience in legislative drafting, regulatory reform, legal research, or public sector advisory.
· Demonstrated ability to support senior legal practitioners in the drafting of rules, subsidiary legislation, and statutory instruments within complex institutional and multi-stakeholder environments and strong understanding of business regulation, licensing procedures, and investment governance frameworks within Pakistan’s federal and provincial systems.
· Proven experience in legal analysis, comparative research, and policy harmonisation, particularly in aligning new regulations with existing administrative and constitutional frameworks.
· Prior exposure to multi-stakeholder consultations involving government agencies, private-sector associations, and regulatory bodies, with the ability to synthesise and incorporate feedback into legal documents.
· Excellent legal drafting, analytical, and communication skills, with a strong command of both written and spoken English; proficiency in Urdu is an advantage for engagement with public sector counterparts.
Reporting Line
The legal expert will report to the Senior Legal Expert along with REMIT Team Lead and the Investment Climate Lead (ICL), working in close coordination with the BoI Legal Wing and designated government focal persons.
